Submission, Pooling Assistance & Vetting

The ULR contract submission process is key to establishing fair & reasonable pricing of ULR contracts, as well as for providing indicative information to potential licensees and other companies which might be important in forming their IP strategy decisions. Instrumental to the submission process are the technical, legal and market analyses to be performed by the Selection Committee, as well as the 30-day period of open market peer review and evaluation upon initial acceptance. Each assessment stage promotes the listing of only quality IP for a fair and reasonable market-driven price.

A ULR contract is submitted by an IP owner for consideration through presentation to IPXI of a Unit Offering Scenario. Alternatively, IPXI may solicit ULR contract opportunities from IP owners and assist in pooling efforts. In its submission, the IP owner can establish conditions for the granting of amnesty for past infringement as an incentive to encourage early adoption.

To ensure the development of a high quality IP marketplace, IPXI's Selection Committee vets ULR contract opportunities based on quality standards, determined from:

  • An abstract of the technology and business opportunity
  • Identity of the full portfolio and highlight of any core patents within the portfolio
  • Market identification, including:
    • Proposed field of use
    • Proposed unit basis
    • Identification of prospective licensees
    • Market adoption time, trends, rate and size

  • Identification of any encumbrances, including most favored licensee obligations
  • Suggested Terms of Amnesty (if any)
  • Suggested Criteria (if any) for determination of a Failed Offering
  • Identification of third party sources which may assist the Selection Committee in its decision making process

Upon preliminary acceptance of a ULR contract proposal by the Selection Committee, IPXI will publish a summary of the proposed ULR contract on the IPXI website and solicit comments from Members for 30 days. The proposed Sponsor may consider any information submitted during the comment period and to make any revisions to its proposal as it deems appropriate. The Selection Committee will render its final recommendation 20 days after the close of the Member comment period.
